Welcome to Wellfed (the "Platform"), an e-commerce platform owned and operated by BodyRx Wellness ("we", "us", "our", "BodyRx", "Wellfed", "Company"). BodyRx's registered office is located at Shop 8 & 9, #40, SLN Complex, 9th Cross, Byrasandra Main Road, GM Palya, Bengaluru- 560075.
This document is an electronic record in terms of the Information Technology Act, 2000 and published following the provisions of Rule 4 of the Information Technology (Reasonable security practices and procedures and sensitive personal data or information) Rules, 2011 that require publishing the Rules and Regulations, Privacy Policy and Terms and Conditions for access or usage of Platform through the Wellfed Mobile Application (hereinafter referred to as "Mobile Application") and Website- [www.bewellfed.in] (hereinafter referred to as "Website") and our related Website, Application, Services and Products (together with the Mobile Application and Website, collectively referred to as "Services").
These Terms and Conditions ("Agreement", "Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you", "user", "client") and BodyRx concerning your access to and use of the Website and Mobile Application as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Website and Mobile Application"). You acknowledge and agree that BodyRx will be entitled to provide the Services to you under the terms of this Agreement. You agree that by accessing the Website and/or Mobile Application, you have read, understood, and agree to be bound by all of these Terms and Conditions.
IF YOU DO NOT AGREE WITH ALL OR ANY OF THESE TERMS AND CONDITIONS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE WEBSITE AND MOBILE APPLICATION AND YOU MUST DISCONTINUE THEIR USE IMMEDIATELY.
Supplemental terms and conditions or documents that may be posted on the Website/Mobile Application from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will, wherever possible, attempt to notify you of any changes to the Terms by way of push notifications and/or pop-ups and/or e-mails and by updating the "Effective Date" of these Terms and Conditions. It is your responsibility to periodically review these Terms and Conditions to stay informed of updates. You will be subject to and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms and Conditions by your continued use of the Website/Mobile Application or using any of the Services after the date such revised Terms and Conditions become effective.
The information provided on the Website/Mobile Application is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Website/Mobile Application from other locations do so on their initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.
To avail of our Services on your own, you must be of legal age and eligible to enter into a binding contract with us, as per the laws applicable to you. The Services are not intended for users who are under the age of 18. If you are below the age of 18 ("Minor"), you may use our Services only with the supervision and consent of a parent or guardian. No individual under these age limits may use our Services, provide any Personal Data to BodyRx, or otherwise submit Personal Data through the Services (e.g., a name, address, telephone number, or email address).
The Platform allows you to upload photos or videos ("Your Content") for profile creation, progress tracking or support. Your Content is yours. We do not claim any right, title, or interest in Your Content.
When using the Platform, you undertake not to -
BodyRx reserves its right to restrict, suspend or terminate your access or use of the Platform for violation of any of the aforesaid restrictions or any other unlawful or inappropriate conduct.
Unless otherwise indicated, the Website/Mobile Application is our proprietary property and all content, source code, databases, functionality, software, website designs, audio, video, text, images, photographs, graphics, illustrations, questions, creative suggestions, messages, comments, feedback, ideas, recipes, nutritional information, notes, drawings, articles and other materials on the Website/Mobile Application (collectively, the "Platform Content") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of India, foreign jurisdictions, and international conventions. The Platform Content is provided on the Website/Mobile Application "AS IS" for your information and personal use only. Except as expressly provided in these Terms and Conditions, no part of the Website/Mobile Application and no Platform Content may be modified, copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, performed, encoded, translated, transmitted, distributed, sold, licensed, create derivative works of or otherwise exploited for any commercial purpose whatsoever in whole or in part, without our express prior written permission.
Provided that you are eligible to use the Website/Mobile Application, you are granted a limited license to access and use the Website/Mobile Application and to download or print a copy of any portion of the Platform Content to which you have properly gained access solely for your personal, non-commercial use. We reserve all rights not expressly granted to you in and to the Website/Mobile Application and the Platform Content.
The Platform may be integrated with or may otherwise interact with third-party servers, applications, websites, etc. ("Third-Party Services") to make our Services available to you. You understand and agree that we do not endorse and are not responsible or liable for the behaviour, features, or content of any third-party application nor do we warrant the compatibility or continuing compatibility of the third-party applications with the Platform.
The Platform may contain hyperlinks to external websites owned and operated by third parties. We have no responsibility concerning the accuracy, completeness, and quality of the information contained within such third-party sites, and you access these sites at your own risk. Any and all contents on such third-party sites do not reflect the services or information provided by us. Please note that when you use third-party services, their terms of use and privacy policies will govern your use of those services. References to any external links should not be construed as an endorsement of the links or their content by us.

Our Services allow you to purchase Products and Services from us. An illustrative list of such Products and Services is listed below. We reserve the right to amend, discontinue, withdraw, or cease our Service offerings at any time.
Personalised Meal Subscription - A subscription-based service wherein users are given a personalised diet and nutrition plan based on health conditions and/or goals, and get freshly cooked calorie and macro-nutrient counted meals delivered to their home and/or office. We provide various subscription tiers and allow customisation of the frequency of meal deliveries. All plans include a meal plan and meal deliveries up to four meals a day. Meal delivery is available between Monday and Saturday. You can view the details of the plans in the Plans & Pricing section of the Website.
To obtain our services for Personalised Meal Subscription, you will be required to create an account with Wellfed and subscribe to any of our available subscription packages. You can view details and avail the benefits of your subscription using the Website and Mobile Application.
Please note that completion of the online checkout process shall not constitute our acceptance of your offer to purchase products and/or avail services from us. Our acceptance of your order is, inter alia, subject to our receipt of complete payment from you, the availability of the products with us and serviceability of your delivery locations. We will notify you by e-mail or phone as soon as possible to acknowledge that we have received and are processing your subscription request.
If there is an issue with the payment that is discovered after the initiation of the subscription, or if you have opted to pay the subscription in instalments and fail to make a payment on or before the agreed-upon due date (communicated via email and visible on the Website or Mobile Application), we reserve the right to terminate your subscription, refuse refunds (partial or full) and impose cancellation penalties.
We accept the following forms of payment -
The digital payment service is provided on the Website/Mobile Application using a third-party Payment Gateway (Razorpay). By clicking on the payment link on the Platform and entering the payment details, the User confirms that the credit or debit card or banking information provided is complete, accurate, and their own. All payments shall be in Indian National Rupees.
You agree to pay all charges or fees at the prices then in effect for your purchases. We may change prices at any time. We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment.
We do not guarantee the security of the payment information provided by the User on the payment gateway link. We do not accept or assume liability for any damages, losses, costs, expenses, indirect losses, or consequential damages of any kind that may be suffered or incurred by the User from the use of the third-party payment gateway service.
As standard, our personalised meal plans include four meals a day, i.e. Breakfast, Lunch, Evening Snack and Dinner. While meal plans can be provided for all seven days of the week (on request), meal delivery is only available from Monday to Saturday. Meals may not be delivered on certain public holidays or when our delivery partners are not working. You will be informed in advance about the same through one or more of the following channels- via SMS, Phone Call, Email, WhatsApp or Mobile Push Notifications based on your preferences (which can be managed using the Mobile Application or by communicating the same to us).
Meals deliveries are scheduled three times a day in pre-determined time slots determined based on the distance of your delivery address from our nearest kitchen. For certain meals and certain delivery addresses, you may have the option to choose your preferred delivery slot. We aim to deliver meals on time, however, there may be occasional delays due to certain external factors beyond our control. In the event you require our delivery partner to drop your meal at the reception/security desk, we will not be responsible for any subsequent tampering, misplacement or theft of the meal. If you are unavailable to accept delivery of your meal, the delivery partner try to reach you via a phone call and may wait up to five minutes. If you do not respond and collect your meal within this time, the meal may be dropped off at the nearest security/reception desk, or delivery may be marked as failed/undelivered and you will not be compensated.

In case a meal is not delivered in the expected and agreed upon time frame, except due to an event of force majeure as may be communicated to you, please reach out to us via email at hello@bewellfed.in or call us on +91 90355 11921. We will either expedite the delivery or cancel the meal due to non-delivery and extend your subscription to that extent.
The Personalised Meal Subscription service and meal delivery is operational only in parts of Bengaluru, Karnataka, India. A disclaimer for the same and a link to an interactive map showing the zone of the delivery coverage is displayed during the online checkout process on both the Website and Mobile Application. It is your responsibility to validate that we deliver meals to your addresses.
After you purchase a subscription, an authorised representative from BodyRx MAY reach out to you via a phone call to validate serviceability. If we are unable to service your addresses, you may be eligible for a refund based on our Refund and Cancellation Policy (as defined under Section 3.8).
We will alert you about changes to serviceability and the the delivery radius via Email or Mobile Push Notifications. If a location that was previously deliverable is no longer deliverable, you may be entitled to a partial or full refund based on our Refund and Cancellation Policy (as defined under Section 3.8).
Rescheduling/Updating the Time Slot is only possible within the delivery's shift and can only be set to one of the pre-defined time slots (pre-determined based on distance of delivery address from the nearest kitchen and displayed on the Mobile Application). Updating the Delivery Address/Destination is only possible to another serviceable address. The Mobile Application will validate addresses and ensure that you only add/select addresses that are serviceable. Meal Delivery Skips are possible for any meal prior to the meal's delivery, but may be chargeable (see Section 3.7). When using the Mobile Application to skip meals, you are made aware of any charges or meal credits that are applicable for the skip. If you call, message or WhatsApp us to skip a meal, we will notify you of any charges or meal credits that are applicable for the skip before we process it.
Modifications can be made using the Mobile Application or by reaching out to us via phone, message or WhatsApp on +91 90355 11921, and the cut-off for modifications is 6:00 PM the day before the delivery is scheduled. All Modifications are subject to our approval. If we are unable to honour your request, we will notify you via SMS, Phone Call, Email, WhatsApp or Mobile Push Notifications based on your preferences (which can be managed using the Mobile Application or by communicating the same to us).
Certain subscription tiers allow you to skip meals and carry the meals forward to future subscriptions. Details of Carry Forward availability are shown during the online checkout process when you are purchasing a subscription. If you have an eligible subscription and you skip your meal within the meal cut-off time (see Section 3.6), the value of the skipped meal is credited to your Meal Wallet (details accessible in the Mobile Application) in the form of Meal Credits. The value of each skipped meal is calculated by dividing the total subscription price by the number of meals included in the subscription.
Meal Credits stored in the Meal Wallet can only be redeemed when purchasing a new subscription and cannot be used for standalone purchases or other services. The credits will automatically apply at checkout if available, up to the total amount of the new subscription price.
Meal Credits have no cash value and cannot be redeemed for money, transferred to other accounts, or exchanged for other benefits. Meal Credits must be used within 12 months from the date they are issued. Unused credits after this period will expire. Meal Credits are non-refundable- if a new subscription purchased with Meal Credits is canceled, the credits applied to that purchase will not be reinstated. Any skipped meals outside of the designated cut-off time (see Section 3.6) will not qualify for Meal Credits.

We expressly disclaim any liabilities and warranties regarding the security, accuracy, reliability, applicability to you, effectiveness, timeliness, and performance of our Services, or that the Services will be error-free or that any errors will be corrected. No advice or information provided to you by BodyRx will create any liability or warranty that is not expressly stated herein. Nothing available on the Platform shall constitute our opinion and should not be relied upon in making (or refrain from making) any decision.
BodyRx is an entity engaged in providing nutritional food and services on the Platform however we do not take any responsibility for any adverse health effects arising from consumption of any meals or usage of our Services.
We do not provide or claim to provide any medical advice. Our representations regarding nutrition, health, weight loss and other similar areas of personal health and well being are based on an average understanding and the actual results may vary from person to person. We do not diagnose, treat or cure any disease. The benefits and/or effects of consuming our product(s)/meals(s) may vary from person to person depending on several factors including their genetic makeup, lifestyle and physical activity levels.
You are availing our Services voluntarily after being made aware that there might be health risks that may be caused by your acts or omissions, unknown or unforeseeable at the time of availing our Services. You assume the risk of availing our Services and release us from all liability arising therefrom.
We expressly rely on the personal and health details provided/disclosed to us by the User for providing our Services. We do not take any responsibility for any adverse health or physical effects that may be caused due to the consumption of our food products and/or due to the user's lack of disclosure or negligence in disclosing any important personal or health details. Users must consult a physician before availing of services provided by BodyRx.
BodyRx does not accept or assume any liability in case of interruption of its Services through this Platform, as a result of any maintenance issues or upgrades, emergency repairs, or failure of telecommunications links and equipment or events that are beyond our control. The User shall be responsible for obtaining and maintaining telephone, computer hardware, and other equipment needed for access to and use of the Platform and all charges related thereto. We shall not be liable for any damages to the User's equipment resulting from the use of the Platform.
We and/or our partners shall, under no circumstances whatsoever, be liable for any delay and/or default in performance under this Agreement caused by an event beyond our reasonable control, including but not limited to, war, accident, lockdown, epidemic, pandemic, law and order situation, industrial action, embargo, or any other supplier of goods or services to us or you.
You agree to indemnify, defend and hold harmless BodyRx, its partners, licensors, or affiliates from and against any claims, losses, expenses, or costs arising out of misrepresentations regarding your health conditions, your breach of this Agreement including or the documents it incorporates by reference, or your violation of any law, rules or regulations or the rights of a third party.
To the maximum extent permissible by applicable laws, in no event will BodyRx and/or its partners be liable to you for any, indirect, incidental, special, punitive, or consequential damages, or lost profits, arising out of, or in connection with, your use of the Services and/or the Platform, whether the damages are foreseeable, and/or whether or not we have been advised of the possibility of such damages in advance. Our liability, if any, will always be limited to a maximum of the total price of our Service/product purchased by you.
These Terms and Conditions and your use of the Website/Mobile Application shall be governed by and shall be construed per the laws of India. All disputes relating to this Agreement shall be settled in the courts located at Bengaluru, Karnataka.
Except as otherwise required by applicable law, any claim or cause of action you may have against us must be commenced within 30 (thirty) days after when such cause of action accrues or such User becomes aware of the facts giving rise to the cause of action, whichever is later, else, such cause of action shall be permanently barred.
